The prices found on our website are only indicative and are subject to change without notice. In the case of differences between these prices and a price that you may receive in a quote, the latter shall prevail.

Prices

The prices indicated are valid for a 30-day period starting on the issue date of the current document by Adco, pending availability of the merchandise. Once the 30-day period has expired, prices are subject to change at Adco's discretion without prior notification.

Currency

The customer is responsible for the payment of the invoice in the currency specified on the invoice, regardless of the customer's location. For all customers based on Canadian soil, all prices are in Canadian dollars and payment must be made in Canadian funds. For customers based outside of Canada, all prices are in U.S. dollars and payment must be made in U.S. funds.

Merchandise return

Adco will not issue any refund should the customer refuse to take delivery of its merchandise or makes an unauthorized return. Unpaid invoices must be settled in accordance with the current terms and conditions even if Adco remains in possession or is returned possesion of the merchandise. In the event the customer advises Adco that it will not take possession of or returns the merchandise within 30 days of the date of the invoice, no penalty will be assessed to the customer. In the event of a return within 30 days of the date of the invoice, a credit may be issued to the customer pending approval by Adco, who will then issue an authorization number. Unless specified in a written notice by Adco, any returned merchaindise must come in its original package and sent to Adco's head office, located at 5400, Armand-Frappier, in St. Hubert, Quebec, J3Z 1G5, and the customer must cover the shipping fees. A 15 % fee of the net value will be invoiced to the customer for any return made after the 30-day period.

Delivery

The delivery dates specified by Adco are strictly approximate. Although the company tries by any means necessary to deliver the merchandise on time at the date agreed upon, Adco will decline any obligation or responsibility because of delays due to strikes, damages, shipping delays by the company's own suppliers or any other circumstance that might be due to pending orders.

Interests

In the event the customer fails to meet the terms of payment agreed upon by both parties, any late payment will include interests at a rate 18% per year.

Payments

C.O.D. or payments within 30 days pending credit approval by the Financing Department.

Custom-made merchandise

For any custom order, a deposit representing 40% of the total amount is required. It is understood that any merchandise made based on the customers' specifications cannot be cancelled or returned for any reason.

Storage fees

The customer must abide by its committment to take possession of the merchandise within the period specified on the invoice. Should the customer fail to abide by its committment, the customer will be assessed a fee of sixteen dollars ($16.00) per pallet per week. This fee will be assessed for as long as the customer does not retrieve the merchandise.

Responsibility of the merchandise

From the moment Adco has met its merchandise shipping obligations, the customer agrees that he will be sole responsible for any damages that can occur to the merchadise delivered by Adco.

Security

Barring a formal agreement to the contrary, the customer will have sole responsibility of the installation of the merchandise sold by Adco and will abide by the installation standards generally recognized.

Confidentiality

Any and all information given by Adco regarding its products and services, including the price lists, the files and technical specifications must remain confidential and the customer agrees not to make them public, under penalty of law.

Applicable law and forum

The laws applicable in the Province of Quebec will prevail in the juridical relations between the parties, as well as the laws of the Parliament of Canada, when applicable. In case of disagreeemnt between the parties, only the common law courts of the Longueuil judicial district will prevail.
